Terms and Conditions for Akshay And Sons Carpet - Manufacturer to Vendors

1. Definitions: 1.1. "Company" refers to Akshay And Sons Carpet, the manufacturer of carpets and related products. 1.2. "Vendor" refers to the business or individual purchasing products for resale. 1.3. "Products" refer to carpets, rugs, and other related textile products manufactured by the Company.

2. Order Placement: 2.1. All orders must be placed in writing via email or other agreed communication channels. 2.2. The Company reserves the right to accept or reject any order at its sole discretion.

3. Pricing and Payment: 3.1. Prices will be as per the Company’s prevailing price list or as agreed in writing. 3.2. Payment terms will be as specified in the invoice, and the Vendor agrees to make full payment within the specified timeframe. 3.3. Late payments may attract interest charges as specified in the invoice.

4. Delivery and Shipping: 4.1. Delivery dates are estimates and not guaranteed. The Company is not liable for delays caused by third-party logistics providers or unforeseen circumstances. 4.2. The Vendor is responsible for all shipping costs unless otherwise agreed in writing.

5. Inspection and Acceptance: 5.1. The Vendor must inspect the Products upon receipt and notify the Company of any defects or discrepancies within 7 days. 5.2. Failure to notify the Company within the stipulated time will be deemed acceptance of the Products.

6. Warranty and Returns: 6.1. The Company warrants that the Products will be free from manufacturing defects for a period of 30 days from the date of delivery. 6.2. Returns or exchanges will only be accepted for defective Products and must be approved by the Company in writing.

7. Intellectual Property: 7.1. All trademarks, logos, and designs associated with the Products remain the property of the Company. 7.2. The Vendor is prohibited from reproducing, altering, or misrepresenting any intellectual property of the Company.

8. Confidentiality: 8.1. The Vendor agrees to keep all pricing, designs, and product information confidential and not to disclose it to third parties without prior written consent from the Company.

9. Indemnity and Limitation of Liability: 9.1. The Vendor agrees to indemnify and hold harmless the Company from any claims, damages, or liabilities arising from the resale of the Products. 9.2. The Company’s liability is limited to the purchase price of the defective Products.

10. Termination: 10.1. Either party may terminate the agreement with 30 days written notice. 10.2. Upon termination, all outstanding payments shall become immediately due and payable.
